Terms of Service

1. Who we are

Tendered ("Tendered", "we", "us") is a product of Nis Shpk (Tax ID M37212002T), registered at Blv Zogu I, Shkoder 4000, Albania — www.nisgroup.io. We provide a software service that helps logistics and procurement teams parse, price and respond to freight tenders. These Terms govern your access to and use of the Tendered web application and related services (the "Service").

2. Account & eligibility

You must be at least 18 years old and authorised to act on behalf of your employer to use the Service in a commercial capacity. You are responsible for the activity that occurs under your account and for keeping your credentials confidential.

3. Acceptable use

You agree not to:

• upload content you don't have the right to process;
• attempt to reverse-engineer, scrape, or disrupt the Service;
• use the Service to violate any law, regulation, or third-party right;
• upload special-category personal data unless strictly necessary.

4. Customer data & confidentiality

You retain all rights to the tender files, lane data and other content you upload ("Customer Data"). You grant Tendered a limited licence to host, process and display Customer Data to provide, support, secure and improve the Service. We do not use Customer Data to train third-party AI models.

Your prices stay yours. Pricing suggestions in your workspace are computed from your own data, public market sources, and data licensed to us — never from another customer's rates. We may derive aggregated, de-identified statistics from use of the Service; these never identify you and never disclose your individual rates.

5. Service availability

We work to keep the Service available but do not guarantee uninterrupted access. We may release updates, perform maintenance, or change features. Material changes will be communicated in advance where reasonably possible.

6. Fees

Fees, if any, are set out in the order form or pricing page in force at the time of purchase. Prices are exclusive of VAT unless stated otherwise. Invoices are issued by Nis Shpk. Late payments may result in suspension after written notice.

7. Disclaimers

The Service is provided "as is". Pricing suggestions, parsed values and AI-generated outputs are decision-support aids — you remain solely responsible for the prices you submit to your customers and for the contracts you sign.

8. Limitation of liability

To the maximum extent permitted by law, Tendered's aggregate liability arising out of or relating to the Service is limited to the fees paid by you in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits or business.

9. Termination

Either party may terminate the Service on written notice. On termination you may export your Customer Data for a period of 30 days, after which we may delete it.

10. Governing law

These Terms are governed by the laws of Belgium. Disputes will be brought before the competent courts of Brussels, unless mandatory consumer law provides otherwise.
